Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and MorphCam ("MorphCam", "we", "us", or "our") governing your access to and use of the MorphCam application, website, and related services (collectively, the "Service"). By downloading, installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance & changes

By using the Service you accept these Terms, our Privacy Policy, Acceptable Use Policy, and Refund Policy, all of which are incorporated by reference. We may update these Terms at any time; material changes will be posted here with an updated date, and your continued use after changes take effect constitutes acceptance. We may require you to update the application to the latest version to keep using the Service.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to use the Service. By using the Service you represent that you meet this requirement, that you have the legal capacity to enter into these Terms, and that you are not barred from using the Service under any applicable law. The Service is not directed to and may not be used by minors.

3. The Service

MorphCam provides real-time AI-assisted video transformation ("face swap") tools intended for streaming, content creation, virtual personas, and personal use. The Service relies on third-party service providers and on internet connectivity. We do not guarantee any particular output quality, likeness, latency, uptime, or availability, and features may change, be limited, or be discontinued at any time.

4. Accounts & security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information, to keep it current, and to notify us promptly of any unauthorized use. We may limit the number of accounts associated with a device or user and may refuse, suspend, or terminate accounts at our discretion. You may not share, sell, or transfer your account.

5. Credits, payments & billing

• The Service is provided on a prepaid credit basis. Credits represent streaming time or usage and are consumed as you use the Service.
• Payments are made via supported cryptocurrency through a third-party payment processor. By purchasing, you authorize the applicable processor to process your payment and you agree to their terms.
• Prices, credit values, and consumption rates may change at any time. Credits have no cash value, are non-transferable, and except as expressly stated in the Refund Policy or required by law, are non-refundable.
• You are responsible for any taxes applicable to your purchases.
• We are not responsible for losses arising from your use of cryptocurrency, including price volatility, wrong-address transfers, or network fees.

6. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, which prohibits, among other things, using the Service to deceive or defraud, to impersonate real individuals in order to cause harm, to create non-consensual or sexual content, to produce content involving minors, to harass, or to break the law. Violation of the Acceptable Use Policy is a material breach of these Terms and may result in immediate termination without refund.

7. Your content & your responsibility

You are solely and fully responsible for how you use the Service and for all content you create, capture, transmit, stream, or distribute using it, including any reference images, likenesses, characters, audio, and output. You represent and warrant that:

• you own or have all rights, licenses, and permissions necessary for any image, likeness, voice, or other material you use with the Service;
• your use of the Service and your content complies with all applicable laws and with the platforms you stream to; and
• your use does not and will not infringe, misappropriate, or violate the rights (including privacy, publicity, and intellectual-property rights) of any third party.

Assumption of risk. You knowingly and voluntarily assume all risks associated with your use of the Service, including any legal, reputational, financial, or other consequences of the content you produce or how you present yourself. MorphCam does not monitor, control, or endorse user content and is not responsible for it. You agree that any consequences of your use are your responsibility alone.

8. Intellectual property

The Service, including its software, design, branding, and content we provide, is owned by MorphCam or its licensors and is protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not copy, modify, reverse-engineer, decompile, resell, or create derivative works from the Service except as permitted by law. You retain rights you hold in content you lawfully bring to the Service; you grant us a limited license to process it solely to provide the Service to you.

9. Third-party services

The Service depends on third-party providers for certain functions, such as payment processing and hosting. Your use may be subject to those providers' terms, and their availability, changes, or restrictions are outside our control. We are not liable for third-party services, and we may change providers at any time.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT OUTPUTS WILL MEET YOUR EXPECTATIONS. YOU USE THE SERVICE AT YOUR OWN RISK.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MORPHCAM OR ITS OWNERS, OPERATORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless MorphCam and its owners, operators, employees, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your content; (c) your violation of these Terms or the Acceptable Use Policy; or (d) your violation of any law or third-party right.

13. Suspension & termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including suspected violation of these Terms or the Acceptable Use Policy, suspected fraud, or to comply with law. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including responsibility, disclaimers, limitation of liability, and indemnification) will survive.

14. Governing law & disputes

These Terms are governed by and construed in accordance with the laws applicable at the operator's principal place of establishment, without regard to conflict-of-laws principles and without designating any specific national court as the exclusive forum. Any dispute arising out of or relating to these Terms or the Service shall be resolved on an individual basis, and, to the fullest extent permitted by applicable law, you waive any right to participate in a class, collective, or representative action. The operator may elect to resolve disputes through binding individual arbitration or before the competent courts having jurisdiction over the operator. Nothing in this section removes any mandatory rights or protections that applicable law in your place of residence grants you and that cannot be waived by agreement.

15. Miscellaneous

These Terms, together with the policies incorporated by reference, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them freely. Nothing in these Terms creates any agency, partnership, or employment relationship.
